Samson Equipment Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of www.samsonequipment.com (the “Site”), operated by Samson Equipment, Inc. (“Samson Equipment,” “we,” “us,” or “our”). By accessing or using the Site, submitting an inquiry, downloading materials, or communicating with us through the Site, you agree to these Terms to the extent permitted by applicable law.

Website Use; No Online Sales

The Site is an informational website for Samson Equipment products, services, custom fabrication, and project consultation. The Site no longer provides e-commerce checkout, online accounts, shopping-cart purchases, or automatic order acceptance. Product descriptions, images, specifications, availability, lead times, and other content on the Site are provided for general information and may change without notice.

No product or service sale is created by browsing the Site or submitting an inquiry. Orders, deposits, payment terms, delivery terms, installation terms, warranties, cancellation rights, and any other commercial terms must be stated in a written quote, proposal, invoice, purchase order accepted by Samson Equipment, signed agreement, or other written project document. If those written documents conflict with these Terms, the project-specific written documents control for that transaction.

Quotations, Proposals, and Orders

Quotes and proposals are valid only for the period stated in the applicable written document. If no period is stated, pricing, specifications, and availability are subject to change until Samson Equipment accepts an order in writing. Samson Equipment may decline, revise, or cancel a quote before written acceptance.

You are responsible for reviewing all written specifications, dimensions, finishes, colors, layout drawings, facility conditions, access requirements, and other order details before approval. Changes requested after approval or after fabrication, purchasing, scheduling, shipment, or installation planning has begun may require revised pricing, revised lead times, additional charges, or a new written approval.

Custom Fabrication and Customer Approvals

Many Samson Equipment products and projects are custom, made-to-order, modified, or configured for a specific customer, facility, room, team, or training environment. Custom products may include non-standard dimensions, finishes, colors, logos, mounting requirements, attachments, layouts, or combinations of equipment.

Drawings, renderings, diagrams, photographs, digital previews, and other visual materials are provided to support communication and may not reflect every final detail unless the written order documents state otherwise. Customer-approved drawings, specifications, finish selections, and layouts may be relied on for fabrication and project planning.

Pricing, Taxes, and Payment

Unless a written quote, invoice, or accepted purchase order states otherwise, prices do not include applicable taxes, duties, tariffs, freight, delivery, unloading, storage, installation, permits, site preparation, or third-party charges. You are responsible for taxes and charges required by law or by the applicable written order documents.

Payment terms, deposits, progress payments, retainage, credit terms, and final payment requirements are governed by the applicable written quote, invoice, purchase order, signed agreement, or other accepted project document. Deposits and payments for custom or made-to-order work may be non-refundable to the extent Samson Equipment has incurred labor, materials, engineering, administrative, scheduling, fabrication, vendor, or other project costs.

Shipping, Freight, Delivery, and Installation

Shipping, freight, delivery, unloading, installation, and storage responsibilities are governed by the applicable written order documents. Unless Samson Equipment expressly agrees in writing to provide installation, you are responsible for receiving the equipment, inspecting deliveries, providing safe access, confirming site readiness, supplying required labor or equipment, and arranging qualified installation.

You should inspect shipments promptly on delivery and note visible damage, shortage, or packaging issues with the carrier before acceptance when possible. Concealed damage, missing parts, incorrect items, or warranty concerns should be reported to Samson Equipment as soon as reasonably practical with photographs and supporting documentation.

Lead times and delivery dates are estimates unless expressly stated as firm in writing. Samson Equipment is not responsible for delays caused by suppliers, carriers, weather, labor availability, site conditions, permitting, design changes, customer approvals, force majeure events, or circumstances outside Samson Equipment’s reasonable control.

Returns, Cancellations, and Corrections

Because the Site does not process online purchases, online return or refund terms do not apply. Return, cancellation, exchange, restocking, repair, replacement, or correction rights for any product or project are governed by the applicable written order documents and any written warranty terms provided by Samson Equipment.

Unless Samson Equipment agrees otherwise in writing, custom, modified, made-to-order, installed, used, or customer-approved products are not returnable or cancellable after fabrication, procurement, shipment, installation, or other substantial project work has begun. Standard products may be returnable only with prior written authorization from Samson Equipment and may be subject to inspection, restocking charges, return freight, packaging requirements, and condition requirements. Nothing in these Terms limits any rights that cannot be limited under applicable law.

Product Use, Facility Safety, and Professional Advice

Fitness, athletic, strength-training, and weight-room equipment can involve risk of serious injury if selected, installed, maintained, or used improperly. You are responsible for determining whether equipment, layouts, mounting methods, training activities, and facility conditions are appropriate for your users and environment. Consult qualified health, safety, medical, engineering, installation, construction, and training professionals when appropriate.

You are responsible for routine inspection, maintenance, supervision, user instruction, age-appropriate access, safe loading, anchoring where required, and compliance with applicable facility policies, building conditions, codes, and laws. Content on the Site is not medical, engineering, architectural, construction, or legal advice.

Privacy

Your use of the Site is also subject to Samson Equipment’s Privacy Policy, available at https://www.samsonequipment.com/privacy-policy/. The Privacy Policy explains how Samson Equipment collects, uses, and protects information submitted through or related to the Site.

Electronic Communications

When you visit the Site, submit a form, send an email, request a quote, or otherwise communicate with Samson Equipment electronically, you consent to receive responsive communications electronically. Electronic communications may include emails, quote-related messages, project communications, notices, disclosures, and other records related to your inquiry or project.

Third-Party Links and Services

The Site may contain links to third-party websites, embedded services, maps, videos, forms, vendors, social platforms, or other resources (“Linked Sites”). Linked Sites are not under Samson Equipment’s control. Samson Equipment is not responsible for the content, security, privacy practices, availability, accuracy, or updates of Linked Sites. Links are provided for convenience and do not imply endorsement unless expressly stated.

Intellectual Property and Permitted Use

All text, photographs, graphics, logos, product names, layouts, designs, drawings, videos, documents, software, and other content on the Site are owned by Samson Equipment or its licensors, suppliers, or content providers and are protected by copyright, trademark, trade dress, and other intellectual property laws.

Samson Equipment grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for lawful informational and business inquiry purposes. You may not copy, publish, scrape, reproduce, modify, reverse engineer, distribute, sell, exploit, remove proprietary notices from, or create derivative works based on Site content without Samson Equipment’s prior written permission, except as permitted by law.

User Conduct and Submissions

You agree not to use the Site for unlawful, abusive, fraudulent, infringing, harmful, automated, or disruptive purposes. You may not attempt to gain unauthorized access to the Site or related systems, interfere with Site operation, introduce malicious code, harvest information, or use Site content in a manner that violates these Terms or applicable law.

If you send Samson Equipment comments, ideas, facility information, project details, photographs, drawings, measurements, logos, or other materials, you represent that you have the right to provide them. You authorize Samson Equipment to use those materials as reasonably necessary to respond to your inquiry, prepare quotes or proposals, evaluate project requirements, perform accepted work, maintain business records, and communicate with you.

International Access

The Site is controlled and operated from the United States. If you access the Site from outside the United States, you are responsible for compliance with local laws. Samson Equipment makes no representation that the Site or its content is appropriate or available for use in every location.

Warranty Disclaimers

Site content is provided for general informational purposes. Samson Equipment works to keep Site information accurate, but the Site may include typographical errors, outdated information, omissions, or inaccuracies. Samson Equipment may update, remove, or change Site content at any time without notice.

To the maximum extent permitted by applicable law, the Site and Site content are provided “as is” and “as available” without warranties of any kind, express or implied. Any product-specific or project-specific warranty must be stated in a separate written warranty, quote, invoice, signed agreement, or other accepted project document. Nothing in these Terms excludes warranties, remedies, or liabilities that cannot be excluded under applicable law.

Limitation of Liability

To the maximum extent permitted by applicable law, Samson Equipment and its officers, directors, employees, agents, suppliers, licensors, and service providers will not be liable for indirect, incidental, consequential, special, punitive, exemplary, lost-profit, lost-revenue, lost-data, business-interruption, or similar damages arising from or related to your use of, or inability to use, the Site or Site content.

Commercial responsibilities and remedies for accepted product orders, custom projects, installation work, warranties, or other paid services are governed by the applicable written quote, invoice, purchase order, signed agreement, warranty, or other accepted project document.

Indemnification

You agree to indemnify, defend, and hold harmless Samson Equipment and its officers, directors, employees, agents, suppliers, licensors, and service providers from and against claims, losses, liabilities, damages, costs, and expenses, including reasonable attorney fees, arising out of or related to your misuse of the Site, your violation of these Terms, your violation of applicable law, your infringement of third-party rights, or materials you provide to Samson Equipment.

Dispute Resolution, Governing Law, and Venue

These Terms and disputes arising from or related to use of the Site are governed by the laws of the State of New Mexico, without regard to conflict-of-law rules, and applicable federal law. Subject to any controlling written agreement between the parties, any court proceeding arising from or related to Site use shall be brought in a state or federal court located in New Mexico, and, where state-court venue is proper for the matter, in Dona Ana County, New Mexico.

Before filing a claim related to Site use, the parties will make a good-faith effort to resolve the dispute informally by written notice and reasonable discussion. This informal process does not prevent either party from seeking temporary, injunctive, emergency, or other equitable relief where permitted by law.

New Mexico and Dona Ana County arbitration note: New Mexico generally recognizes arbitration agreements contained in a record, subject to ordinary contract-law defenses and statutory limits. New Mexico courts may decide whether an arbitration agreement exists and whether a controversy is subject to arbitration unless the parties have clearly and enforceably agreed otherwise. The Site no longer accepts e-commerce orders, and use of the Site alone is not intended to require mandatory binding arbitration of product, project, or purchase disputes. Any binding arbitration for a sale, installation, custom project, or other commercial transaction must be stated in a separate written agreement or a mutually accepted written submission to arbitration. Any such arbitration term is intended to apply mutually, preserve non-waivable statutory rights and remedies, and avoid unfair one-sided procedures.

The Third Judicial District Court serving Dona Ana County maintains alternative dispute resolution procedures, including arbitration referrals for qualifying civil monetary disputes. Those court procedures are separate from these Terms and may apply only if a dispute is filed in that court and qualifies under applicable local rules or court order.

Severability; No Waiver

If any part of these Terms is found invalid, unlawful, or unenforceable, that part will be interpreted or limited to the minimum extent necessary, and the remaining provisions will remain in effect. Samson Equipment’s failure to enforce any provision of these Terms is not a waiver of that provision or any other right.

No Partnership or Agency

No joint venture, partnership, employment, franchise, agency, fiduciary, or similar relationship is created by your use of the Site, submission of an inquiry, or communication with Samson Equipment.

Changes to These Terms

Samson Equipment may update these Terms from time to time. The most current version will be posted on this page and will supersede prior versions for future Site use. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms to the extent permitted by applicable law.
